Draft resolutions and minutes without starting from a blank page
Niyora drafts the governance documents a CS practice produces every week - board and general meeting resolutions, SS-1 and SS-2 minutes, notices, the Board’s Report, agreements and letters - then carries them through review, versioning, signature and export on your own letterhead.
- Document types grouped as Governance, Incorporation, General Legal and Compliance
- Firm templates and house-style drafting rules that shape every draft
- Attach the transcript, the notice as issued or the letter received, and Niyora reads the facts out of it
- Already have the document? Upload it and it becomes a Niyora draft with the same lifecycle
- Versions, comments, citation verification, send-to-client for review, signed-copy capture
- Export to PDF and Word on the firm letterhead - or on the client company’s, for documents that belong on theirs
The lifecycle, not just the first draft
A draft moves through drafting, sent for review, changes requested, approved, signed and archived. Each state is real: sending for review emails the client, approval can be recorded on the client’s behalf with a note of who approved it, and a signed copy - whether it came back through Niyora e-sign, the client portal or a scan by post - lands on the same draft.
Written from what you already hold
Every intake carries a Supporting documents section. Attach the meeting transcript and the notice as issued and the minutes are drafted from what actually happened rather than from what you retype. Supporting material is read for facts and never copied for structure - a transcript must not shape a set of minutes.
Signed on a link, without a portal login
Send a document to sign and the client opens a no-login link, reads it in an embedded viewer, types their name and ticks the consent statement. The name is placed in the signature block and a Certificate of Completion is appended. This is an electronic signature under section 10A of the IT Act 2000 - not a DSC or PKI digital signature, and the page says so plainly.
What this does not do
- Niyora does not generate MCA e-forms as documents. INC-33/34, INC-9 and AGILE-PRO-S are produced on the MCA portal; what Niyora drafts is the working paper and the wet-signed attachments.
- Niyora e-sign is an electronic signature under IT Act section 10A. It is not a DSC, and not an Aadhaar eSign through a licensed ESP.
- A draft is a starting point for a qualified professional. Review every output before you rely on it or file it.
Questions firms ask
Can we use our firm’s own templates?+
Yes. Templates are scoped to a document type, and a firm can also record house-style drafting rules that shape every draft it produces.
Can a document go out on the client company’s letterhead instead of ours?+
Yes. Each draft carries a letterhead mode. In company mode the CS masthead, footer and running header are suppressed and a blank band is reserved at the top of page one for the client’s own letterhead.
What if the client signs on paper?+
Record the signature date and attach the scan whenever it arrives. The two are separate, because a scan usually turns up days after the signature.
